1. Agreement
These terms govern your use of accprogram.com and the services offered on it, including Townica, Data Diamonds and Sprocket (together, the “Platform”). The Platform is operated by America’s Commerce Corps (“ACC”, “we”, “us”), 42 North Main Street, Bel Air, Maryland 21014.
By using the Platform or buying anything on it, you agree to these terms. If you do not agree, do not use the Platform.
2. Who may use the Platform
You must be at least 18 and able to enter into a contract. If you are using the Platform on behalf of a business or organisation, you confirm that you are authorised to bind it, and “you” means that organisation.
3. Your account
You are responsible for the accuracy of the information in your account and for keeping your password secure. Tell us promptly if you believe someone else has gained access to it. You are responsible for activity that takes place under your account.
We may suspend or close an account that is being used in breach of these terms, or where we are required to by law. Where we do so and you have paid for a service you have not received, we will refund the unused portion.
4. What we sell
- Townica — directory listings and related subscriptions for local businesses and organisations.
- Data Diamonds — market and location analysis reports, prepared to order.
- Sprocket — publications and digital materials.
Descriptions and images are provided in good faith. Reports are analytical work prepared from the sources available to us; we describe what we find, and we do not guarantee any particular commercial outcome from acting on them.
5. Orders, prices and payment
Prices are shown in US dollars. An order is an offer to buy; a contract is formed when we confirm the order or begin fulfilling it.
If a price is shown incorrectly, we will tell you before taking payment and you may confirm the order at the correct price or cancel it.
Payment is processed by Stripe. We do not receive or store your card number. You confirm that you are authorised to use the payment method you provide.
6. Subscriptions and renewal
Some services are sold as subscriptions that renew automatically for successive terms until cancelled.
- Your subscription renews on the anniversary of purchase unless you cancel before that date.
- We charge the payment method on file at renewal, at the then-current price for your plan.
- If we change the price of a plan, we will tell you before it takes effect, and you may cancel rather than accept it.
- You may cancel at any time from your dashboard or by writing to us. Cancellation stops future renewals; it does not shorten the term you have already paid for, which runs to its end.
Refunds are dealt with in our Refund & Cancellation Policy, which forms part of these terms.
7. Delivery
Reports and digital materials are delivered electronically, either as a download or by a secure link sent to the email address on your order. It is your responsibility to keep that address current.
Physical items are shipped to the address you provide. Risk passes to you on delivery.
Where we give a timescale for a report, it is an estimate made in good faith and not a contractual deadline.
8. Directory listings and content you provide
You keep ownership of the content you submit. By submitting it you grant us a non-exclusive, royalty-free licence to host, display and distribute it for the purpose of operating the Platform and promoting your listing.
You confirm that you have the right to submit it, that it is accurate, and that it does not infringe anyone else’s rights.
You must not submit content that is unlawful, misleading, defamatory, obscene, or that impersonates another business. We may remove any listing or content that breaches these terms, and we will tell you why.
9. Acceptable use
You must not:
- use the Platform for any unlawful purpose;
- attempt to gain unauthorised access to any part of it, or to another user’s account;
- scrape, harvest or systematically extract data from it;
- interfere with its operation, or introduce malicious code;
- resell or redistribute a report or publication without our written permission.
10. Our intellectual property
The Platform, its software, design, text and branding are owned by us or our licensors. When you buy a report or publication you receive a licence to use it within your own business. You may not republish it, sell it, or share it publicly without our written permission.
11. Third-party services
The Platform links to and relies on services operated by others, including payment processing and mapping. We are not responsible for their content or their availability, and their own terms apply to your use of them.
12. Disclaimers
The Platform is provided “as is”. We do not warrant that it will be uninterrupted or error-free, or that any report will be free from omissions.
Nothing we publish or supply is financial, legal, investment or professional advice. Reports are informational. You are responsible for the decisions you make, and you should take your own professional advice before acting on anything we provide.
13. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data, and our total liability arising from any order is limited to the amount you paid for it.
14. Indemnity
You agree to indemnify us against claims arising from content you submit, from your breach of these terms, or from your unlawful use of the Platform.
15. Changes to these terms
We may update these terms. The version in force is the one published here at the time of your order. Where a change materially affects an existing subscription, we will tell you before it applies to you.
16. Governing law
These terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. The courts of Maryland have exclusive jurisdiction over any dispute, and you and we both submit to them.
17. General
If any provision is found unenforceable, the rest continues in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Statement and the Refund & Cancellation Policy, are the entire agreement between us.
